We are looking for a talented attorney to join the Toshiba Americas Group (TAG) legal team. The Counsel will support TAG legal operations and be based in Houston, Texas.
This position is part of a corporate legal team providing support to multiple business located across the United States in a variety of industries.
This attorney will report to Division General Counsel, support the broader TAG legal team, and work in close relationship with internal clients, often on cross-functional teams when involved in projects
Responsibilities:
Draft, Review, and negotiate a myriad of commercial agreements and other legal documents
Advise internal clients of potential risks arising from those agreements
Develop and maintain contract forms and playbooks
Conduct legal research as necessary
Other duties as assigned
Preferred Skills and Experience:
J.D. from an ABA-accredited law school and active law license in good standing (Texas bar membership strongly preferred)
4+ years of experience in a law firm or corporate legal department with experience in drafting, reviewing, and negotiating commercial agreements, including Terms and Conditions, NDAs, Master Supply Agreements, Service Agreements, Distributor Agreements, Procurement Agreements, IT Software and Services Contracts, and project documents such as RFQs and bid proposals.
Government contract experience is a plus.
Construction contract experience is a plus.
Strong research and writing skills.
Strong interpersonal and communication skills.
Strong analytical skills and ability to exercise sound business judgment.
Ability and desire to work independently and as a member of a team.
Able and willing to travel as needed in support of client transactions.
